Constitution of the Group

1. Name

The name of the Group shall be "The Craster Local History Group".

2. Objectives

To promote interest in and knowledge of the local history of Craster and the surrounding area

3. Membership

(a) Any person interested in the above objectives shall be eligible for election to the Group

(b) Applications for membership shall be made to the Secretary and voted on by the Committee.

(c) The minimum age for full membership is 18 years.

4. Officers

(a) The Officers of the Group shall be elected at the Annual General Meeting. They shall comprise a Chairman, a Treasurer, a Secretary and a Programme Co-ordinator.

(b) The Officers shall be elected for 1 year.

(c) The AGM or Committee may at any time appoint a person to give regular assistance to any officer or for any special Purpose

5. Annual General Meetings (AGMs)

(a) A meeting of all members of the Group (the AGM) shall be held at the start of each financial year.

(b) The AGM shall elect the Officers, Auditor and the Committee and consider any reports and the Annual Statement of Accounts,

(c) The notice convening the AGM, together with any Notices of Motion concerning major changes, shall be circulated to Members at least 14 days before the AGM.

(d) The quorum of the AGM shall be 8 members of whom, at least 2 must be Officers of the Club.

6. Committee

(a) The Committee shall comprise the Chairman, Secretary, Treasurer and Programme Co-ordinator plus one other member elected at the AGM.

(b) The Committee may appoint Group Members to fill vacancies on a temporary basis until the next AGM.

(c) The Committee shall meet not less than three times a year and otherwise as required. The quorum for a meeting shall be 3 members, of whom at least 2 shall be Officers of the Group

7. Special General Meetings

A Special General Meeting may be called by the Committee at any time or by the Secretary on the request of not less than 10 members. Such a request must specify the business for discussion.

8. Subscriptions

(a) Annual subscriptions shall be approved by the AGM, and shall be payable from 1st November

(b) Members who fail to pay their subscriptions due on 1 November by 30th November shall have their names removed from the Membership List.

9. Other Financial Matters

(a) The Group's year shall be 1st November to 31st October

(b) An Auditor shall be appointed at the AGM.

(c) The income and property of the Group, wheresoever derived, shall be applied solely towards the promotion of the objects of the Group and no proportion thereof shall be paid or transferred directly or indirectly by way of dividend, gift, division or bonus in money to or between any members of the Group.

(d) A Bank Account or accounts shall be kept by the Treasurer in the name of the Craster Local History Group. Signatories of the Account shall be either the Treasurer or the Secretary.

(e) No member's financial liability in respect of the Group shall exceed his subscription for any year.

(f) In the event of the dissolution of the Group its property and assets shall be applied to such charitable institutions as remaining members determine.

10. Alteration to the Constitution

No alteration or addition to the Constitution shall be made other than by a formal resolution made at a General Meeting. Notice of the resolution shall be circulated at least 14 days prior to the meeting.

11. Interpretation

The Interpretation Act, 1889 applies for the interpretation of the Constitution as it applies for the interpretation of an Act of Parliament and the male pronoun in this Constitution denotes both male and female members and other persons.
